BarSync ("we," "us," "our," or "Company") provides a web-based music production and lyrics synchronization platform. These Terms of Service ("Terms") govern your access to and use of BarSync, including all content, features, and services offered through our website and applications (collectively, the "Service").
By accessing or using BarSync, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service. We reserve the right to modify these Terms at any time, and such modifications will be effective upon posting to the Service.
2. Eligibility
You must be at least 13 years old to use BarSync. By using the Service, you represent and warrant that you are at least 13 years old and have the legal capacity to enter into this agreement. If you are under 18 years old, you represent that your parent or legal guardian has reviewed and consented to these Terms.
BarSync is not available to any user previously removed from the Service or to any person or entity barred from receiving the Service under applicable laws.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and password. You are solely responsible for all activity that occurs under your account, including but not limited to the accuracy and legality of content you upload or create.
You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate and current. You are responsible for notifying us of any unauthorized use of your account.
You may not use a username or handle that impersonates another person or entity, is offensive, or violates third-party intellectual property rights.
4. User Content
You retain all rights to any original content you create and upload to BarSync, including lyrics, audio files, and profile information ("User Content"). By uploading User Content to BarSync, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to:
- Store and maintain your User Content on our servers
- Display your User Content within the BarSync platform
- Process your User Content to provide the Service features
- Use aggregated or anonymized User Content for analytics and improvement purposes
You represent and warrant that you own or have the necessary rights to all User Content you upload and that such content does not violate any third-party rights.
5. Prohibited Uses
You agree not to use BarSync to:
- Upload, distribute, or promote content that is illegal, defamatory, abusive, or harmful
- Infringe upon the intellectual property rights of others, including copyrighted music or lyrics
- Upload copyrighted audio or content you do not have the right to distribute
- Engage in harassment, bullying, or threatening behavior toward other users
- Attempt to gain unauthorized access to BarSync systems or other users' accounts
- Use the Service for commercial purposes without our prior written consent
- Reverse engineer, decompile, or attempt to discover the source code of BarSync
- Spam, phish, or attempt to deceive other users
- Violate any applicable laws or regulations
6. Subscription Payments
BarSync offers subscription plans processed through Stripe, a third-party payment processor. By subscribing, you authorize us and Stripe to charge your payment method according to the subscription plan you select.
Billing: Subscription fees are billed on a recurring basis as described in your subscription plan. You are responsible for keeping your payment information current and accurate.
Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing cycle. No refunds are provided for partially used subscription periods.
Changes to Pricing: We reserve the right to change subscription pricing with 30 days' notice. Changes will take effect at your next billing date.
7. Termination
We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or applicable laws. Grounds for termination include:
- Uploading illegal or infringing content
- Violating the Prohibited Uses section
- Engaging in fraudulent or malicious activity
- Multiple violations of these Terms
Upon termination, you lose access to your account and all associated data. We are not liable for any loss resulting from account termination.
8. Limitation of Liability
BarSync is provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the fullest extent permitted by law: BarSync and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to data loss, business interruption, or lost profits.
Some jurisdictions do not allow the exclusion of implied warranties, so the above disclaimer may not apply to you.
9. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be posted to this page, and we will notify you via email of significant changes. Your continued use of BarSync after changes constitutes your acceptance of the modified Terms.
